1. Acceptance of Terms

By downloading, installing, or using the Privam mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). Privam is developed and operated by Sayene, a brand of SayEnergy Sp. z o.o.

2. Description of Service

Privam is an AI application that runs on your device. The App:

• provides an AI chat (text, pictures and voice) using AI models that run on your device;
• includes an interpreter that translates a conversation between two people;
• records audio and turns recordings and audio files into text, summaries and notes on your device;
• keeps your chats, conversations and recordings in a library on your device;
• does not require user account creation;
• downloads AI models and settings to your device, for which an internet connection is needed.

3. Privacy

Your chats, pictures, recordings and transcripts are processed and stored on your device and are not sent to us. The cases in which the App connects to the internet (downloading AI models, advertising in the free version, verifying a purchase, reports you choose to send) are described in our Privacy Policy, which is incorporated into these Terms by reference.

4. App Versions and Features

Free Version

• AI chat, with non-personalized advertisements served through Google AdMob
• The interpreter, with a limited number of translations a day
• Recording and transcription, with a limit on the length of a recording and of the transcribed part of an audio file
• Time-limited use without an internet connection

Premium

• A single purchase, not a subscription
• No advertisements
• Unlimited use without an internet connection
• The interpreter without the daily limit
• Longer recordings and transcription of whole audio files, up to the technical limit of the App

The limits that currently apply are shown in the App (Settings > Free and Premium) and in its store listing. We may change what the free version includes in future versions of the App.

5. Third-Party Technologies

AI models

The App runs AI models provided by third parties on your device. Its chat uses Gemma models provided by Google; your use of Gemma is subject to the Gemma Terms of Use, available at ai.google.dev/gemma/terms. Speech recognition uses Whisper models published by OpenAI under an open-source licence. Other models offered for download in the App are subject to the licences stated by their providers.

Advertising

The free version displays non-personalized advertisements through Google AdMob, subject to Google's advertising policies.

6. In-App Purchases

Premium is available as a one-time in-app purchase processed by Google Play or the Apple App Store. All purchases are subject to the respective platform's terms. You can restore a purchase on another device that uses the same store account.

7. Intellectual Property

The App and its content, features, and functionality are owned by SayEnergy Sp. z o.o. and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms. What you create with the App (your chats, transcripts, translations and summaries) is yours.

8. Prohibited Uses

You may not use the App:

• for any unlawful purpose or in violation of applicable laws;
• to generate harmful, offensive, or inappropriate content;
• to record, transcribe or translate other people without the notice or consent the law requires;
• to attempt to reverse engineer, modify, or distribute the App;
• in any way that could damage or impair the App's functionality;
• to violate any third-party rights;
• to circumvent any security measures or access controls.

9. Recordings and Conversations with Other People

You are responsible for how you use the recorder and the interpreter. Laws on recording conversations differ between countries: before you record, make sure the people being recorded know about it and agree where that is required. You are also responsible for the audio files you add to the App and for what you do with transcripts, translations and summaries.

10. Disclaimers

"AS IS" BASIS: The App is provided "as is" without warranties of any kind, either express or implied.

No Guarantees

We do not guarantee that the App will:

• function without interruption or errors;
• meet your specific requirements;
• operate properly on all devices or operating systems;
• provide accurate or reliable AI responses, translations, transcripts or summaries;
• be available at all times.

AI responses, translations, transcripts and summaries are generated by machine learning models and may not always be accurate, appropriate, or reliable. Exercise your own judgment when using AI-generated content, and do not rely on the App for medical, legal, financial or emergency decisions.

11. Limitation of Liability

To the maximum extent permitted by law, SayEnergy Sp. z o.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.

This includes, but is not limited to, damages for:

• loss of profits, data, or use;
• business interruption;
• personal injury;
• loss of privacy;
• failure to meet any duty.

In no event shall our total liability exceed the amount paid by you for the App in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under mandatory law.

12. Device Requirements and Compatibility

The App requires sufficient device storage, memory and processing power to download and run AI models locally. Performance varies with the device.

Minimum Requirements

• iPhone or iPad: iOS 17 or later, an A15 chip or newer and at least 4 GB of memory
• Mac: a Mac with Apple silicon (M1 or later), which runs the iPad app
• Android: Android 11 or later, a 64-bit processor and at least 4 GB of memory
• About 3 GB of free storage for the default AI model (more for optional models and for recordings)
• An internet connection for the initial setup and for model downloads

We do not guarantee compatibility with all devices or operating system versions.

13. Updates and Modifications

We may update the App and these Terms from time to time. When we do:

• App updates will be delivered through official app stores;
• updated Terms will be published on our website and linked from the App;
• continued use of the App after changes constitutes acceptance of the updated Terms;
• material changes will be prominently communicated.

14. Termination

You may stop using the App at any time by uninstalling it from your device. We may terminate or suspend access to the App for violations of these Terms.

Upon termination your right to use the App ceases and you should uninstall it. Provisions regarding intellectual property, disclaimers, and limitation of liability survive termination.

15. Governing Law

These Terms are governed by the laws of Poland, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be subject to the jurisdiction of the courts of Poland. If you are a consumer, this does not deprive you of the protection of the mandatory provisions of the law of the country where you live.

16. Language Versions

These Terms are published in English. If a translation is provided and differs, the English version prevails.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.
